Extraordinary and Annual General Meeting - 15 March 2019

 
The Extraordinary and Annual General Meeting for the 2017/2018 year of the Club took place at The Royal Hotel in Perth on Wednesday 15 March 2019. Seventeen members of the club turned out for both meetings.

The Extraordinary General Meeting preceded the AGM to introduce and adopt the new Constitution. Jim Paterson and Ron Adam explained that to keep pace with changes in Company law our existing constitution required updating. The last time this occurred was back in 2013, so an update was not unexpected.

The major change was to see the previous 'committee' members become Directors of the Club, forming  the 'Board'. Sub committees may still be formed to organise events and functions under the authority of the Board. In addition each of the Directors of the Board will run for a 3 year term, after which they must stand for re-election or stand down. To ease our way into this procedure a rolling annual process was introduced, whereby 3 members will stand down after 1 year, another 3 after two, and the final members after 3 years. This overcomes all members standing down after 3 years, leaving no one at the helm of your club!

With a minor change to the Disciplinary Procedures section to add a member appeal process to include escalation to Motorsport UK if required, the new constitution was accepted, adopted, and is now published on this website.    Constitution

The main AGM followed with the same members in attendance. Following acceptance of the previous years minutes, Jim Paterson presented the Chairmans report. Roger Fry presented the report and accounts for the year ending March 2018, which were adopted

The new board members were presented and adopted.

Finally Jim Paterson provided and update on the 2019 events calendar.          

The meeting closed at 2135.
